14. JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Ares Technology operates. You agree that any legal action or proceeding arising out of or related to this Agreement or the Site shall be brought exclusively in a court of competent jurisdiction in the jurisdiction in which Ares Technology operates.

15. MISCELLANEOUS

This Agreement constitutes the entire agreement between you and Ares Technology with respect to the Site and any services provided through the Site. The other terms of this agreement will still be in full force and effect even if any of its provisions are determined to be void or unenforceable. Ares Technology's failure to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.
